These Terms of Use (“Terms”) govern your access to and use of the website located at cvremotesolutions.com and any related pages or subdomains we operate (collectively, the “Site”). The Site is operated by CV Remote Solutions (“CV Remote Solutions,” “CVRS,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy and Cookie Notice, which are incorporated by reference. If you do not agree, please do not use the Site.

1. About Our Services and This Site

CV Remote Solutions partners with cardiology and electrophysiology clinics to support the remote monitoring of patients with cardiac implantable electronic devices (CIEDs), and provides related consulting and device clinic optimization services. This Site is a marketing and informational website intended primarily for cardiology clinics, hospitals, healthcare administrators, clinicians, prospective team members, and business partners.

The services CVRS provides to clinical partners are governed by separate written agreements (for example, services agreements, business associate agreements, and statements of work). Nothing on the Site creates a services relationship, provider-patient relationship, or business associate relationship between CVRS and any website visitor.

2. Eligibility

You must be at least 18 years old to use the Site and to submit any information through the Site’s forms. The Site is intended for users located in the United States. If you are accessing the Site from outside the United States, you do so on your own initiative and are responsible for complying with your local laws.

3. Your Account and Submissions

The Site may allow you to submit information through forms, such as a “Consult With a Clinician” inquiry form, a careers or job-interest form, or a newsletter sign-up. When you submit information, you represent and warrant that the information you provide is accurate, that you have the right to share it, and that you are not submitting anyone else’s confidential information, including any patient health information.

Do not submit patient identifiers, protected health information (PHI), or any confidential clinical information through Site forms or email. Communications with CVRS regarding patient care should only occur through the secure systems and agreements we put in place with your organization.

4. Acceptable Use

You agree that you will not, and will not attempt to:

  • Use the Site in any way that violates any applicable law or regulation.
  • Access or attempt to access any non-public areas of the Site, our systems, or our technical providers’ systems.
  • Upload or transmit any virus, malware, or other harmful code.
  • Use any robot, scraper, or other automated means to access the Site, except for well-behaved search-engine crawlers that respect our robots.txt file.
  • Interfere with or disrupt the Site, its servers, or connected networks.
  • Attempt to reverse engineer, decompile, or derive source code from the Site.
  • Use the Site to harass any person, or to collect personal information about other visitors.
  • Copy, resell, or commercially exploit any portion of the Site except as permitted by these Terms.

The Site and all of its content—including text, graphics, logos, images, audio, video, trademarks, service marks, trade names, and software—are owned by or licensed to CV Remote Solutions and are protected by United States and international intellectual property laws.

We grant you a limited, personal, revocable, non-exclusive, non-transferable license to view and use the Site for your internal informational, educational, and business-evaluation purposes. We do not grant you any other rights. You may not reproduce, distribute, publicly display, modify, or create derivative works from the Site or its content without our prior written permission, except as expressly permitted by these Terms or applicable law.

“CV Remote Solutions,” “CVRS,” and related logos are trademarks of CV Remote Solutions. Other names and logos referenced on the Site may be the trademarks of their respective owners.

6. Feedback

If you send us comments, questions, ideas, or other feedback about the Site or our services, you grant CVRS a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate that feedback into our website, products, and services without any obligation to you. You are not required to send us feedback, and you should not send us anything you consider confidential.

7. Employment Applications and Careers Content

The Site’s careers pages provide information about CVRS and potential employment opportunities. Job descriptions, qualifications, and other careers content are provided for general information and do not constitute an offer of employment. Any employment relationship with CVRS is governed by a separate written offer and employment documents.

TO THE FULLEST EXTENT PERMITTED BY LAW, CV REMOTE SOLUTIONS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, RELIABILITY, AND UNINTERRUPTED USE.

WE DO NOT WARRANT THAT THE SITE WILL BE SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE COMPLETE, ACCURATE, OR UP TO DATE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CV REMOTE SOLUTIONS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits any liability that cannot be limited under applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless CV Remote Solutions and its affiliates, officers, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, (c) your violation of any law or the rights of any third party, or (d) any content you submit through the Site.

12. Governing Law and Venue

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in [CONFIRM — e.g., Guilford County, North Carolina], and you consent to the personal jurisdiction of those courts.

14. Termination

If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver.
